About the Position
FiscalNote is seeking a Corporate Counsel to serve as a key legal partner to the business, supporting corporate, commercial, technology, regulatory, compliance, employment, privacy, data security, and operational matters. This role manages legal matters from intake through completion, exercising independent judgment to provide clear, practical advice to business teams across the organization.
About the Legal Team
The FiscalNote Legal team partners with every part of the business to manage risk, structure deals, and keep the company compliant as it scales globally. The team handles everything from commercial contracting and corporate governance to regulatory compliance and data privacy, working closely with the People, Product, and Business Development teams to support strategic initiatives across the company.
About You
You are an experienced attorney who thrives in a fast-paced, cross-functional environment and can translate complex legal concepts into clear, actionable guidance for non-lawyers. You bring strong business judgment and can independently prioritize material legal risk while managing multiple priorities at once. You're comfortable owning contract matters end-to-end — from intake and drafting through negotiation, stakeholder alignment, and execution — and you take pride in building scalable legal operations.
#LI-HR1 What To Expect In This Position
Serve as a key legal partner to the business across corporate, commercial, technology, regulatory, compliance, employment, privacy, data security, and operational matters
Draft, review, negotiate, and manage commercial agreements, including software, SaaS and AI, vendor, technology, data-related, confidentiality, service, licensing, and other business agreements
Maintain corporate securities filings with the SEC, such as Form 4, Form S-8, Form 8-K, and other similar filings
Provide legal guidance on corporate transactions and agreements
Manage contract matters end-to-end, including intake, drafting, negotiation, stakeholder alignment, escalation of material risks, and final execution
Develop and improve legal templates, contract playbooks, clause libraries, approval workflows, intake processes, and scalable legal operations practices
Assist with regulatory and compliance-related contract issues involving employment, privacy, data security, consumer protection, corporate securities (SEC), and financial technology
Support disputes and coordinate with outside counsel when needed
Perform special legal projects for senior leadership
Support department-specific strategic initiatives, such as those impacting the People, Product, and Business Development teams
Manage and maintain non-U.S. subsidiary corporate governance compliance requirements for foreign entities
What Sets You Apart
Juris Doctor from an accredited law school
Active membership in at least one U.S. state bar, with eligibility to practice as in-house counsel in the District of Columbia if not admitted in the District of Columbia
4+ years of relevant legal experience
Strong business judgment, attention to detail, and ability to prioritize material legal risk
Ability to explain legal concepts clearly to non-lawyers
Excellent written and verbal communication skills, supporting top-notch project management
Ability to work efficiently in a fast-paced, cross-functional environment
Experience managing multiple competing priorities and discerning appropriate importance and focus
Experience with legal contract management software, such as Salesforce (preferred)
