Overview:
Hughes Hubbard is looking for a Mid-Level to Senior Corporate Associate to join our diverse corporate practice in NYC. The position will focus on corporate M&A.
Skills & Responsibilities:
• Draft all varieties of M&A-related agreements, including but not limited to, purchase and sale agreements, merger agreements, joint venture agreements, shareholder agreements and related ancillary, transitional and other agreements and side letters, certificates, resolutions, etc.
• Communicate and correspond effectively with colleagues, clients, other counsel; establish and maintain effective working relationships with others.
• Analyze corporate M&A legal issues and perform related research, if needed.
• Be familiar with corporate M&A reference materials and electronic resource tools.
• Communicate effectively in English orally and in writing; able to organize and prioritize workload; able to understand and follow written and oral directions.
Education:
• JD degree
• Bachelor's degree
• Must be admitted to practice law in the State of New York.
Experience:
• Candidates must have significant M&A experience.
• Preference for candidates with stellar law firm employment history (limited changes since law school graduation).

Position Summary:
The Collections Manager is responsible for overseeing and managing the firm’s client receivables and collections process, with a focus on timely cash flow, identifying and managing problematic inventory, and building strong client and partner relationships. This role reports directly to the Director of Revenue Management while working closely with attorneys, billing department, the CFO and COO. The Collections Manager will be expected to build and collect the monthly projected accounts receivable invoices as well as addressing client billing concerns, implement effective collection strategies consistent with firm policies.
The Collections Manager proactively monitors aged receivables, facilitates communication between attorneys and clients, negotiates payment arrangements when appropriate, and ensures accurate documentation and reporting of collection activity. This role also contributes to process improvements and reporting by using data driven analytics.

• Draft materials relating to public and private offerings of securities, SEC disclosure requirements and corporate governance matters. Conduct legal research and analysis. Communicate and correspond effectively with colleagues, clients, other counsel; establish and maintain effective working relationships with others.
• Must have understanding of compliance and disclosure related securities laws ('34 Act, '33 Act, Regulations S-K, S-X and MA).
• Perform legal research primarily in federal and state securities law.
• Ability to use library reference materials and/or electronic resource tools in order to maintain expertise.
• Communicate effectively in English orally and in writing; able to organize and prioritize workload; able to understand and follow written and oral directions.

Position Summary:
This position reports to the Supervisor of Billing in the New York Office. The Billing Coordinator will be responsible for all aspects of client billing. The candidate will also be responsible for reviewing and implementing client guidelines and special billing arrangements. The coordinator should demonstrate exemplary customer service and interpersonal skills as well as strong analytical skills and critical thinking.
