GumGum is seeking a hands-on, business-oriented Vice President, Legal to lead the Company’s global legal function. Reporting to the CFO, this role serves as the senior legal leader for the organization and a trusted advisor to executive leadership.

This position is designed for a pragmatic operator who can balance risk management with commercial enablement. The VP, Legal will directly engage in complex commercial negotiations, employment matters, regulatory compliance, and governance oversight, while building scalable processes that support revenue growth and global operations.

As a private, globally operating advertising technology company, GumGum requires a legal leader who exercises sound judgment in fast-moving environments, partners closely with cross-functional teams, and ensures the Company operates with integrity and discipline while enabling innovation.

What You'll Achieve

• Serve as the primary legal advisor to the CFO, CEO, and executive leadership team.
• Provide practical, business-focused counsel on commercial initiatives, operational decisions, and risk management.
• Attend Board meetings and coordinate governance matters in partnership with outside counsel.
• Oversee the Company’s global commercial contracting function.
• Support legal execution of key commercial agreements, including customer contracts, ad insertion orders, supply partner agreements, joint business plans, global endeavors, vendor agreements, licensing arrangements, technology partnerships, and strategic collaborations.
• Ensure contract structures appropriately balance commercial objectives with risk management.
• Serve as the primary legal partner to the People team on global employment matters.
• Advise on performance management, terminations, investigations, compensation programs, equity plans, employee relations issues, and workplace policies.
• Oversee global employment compliance across jurisdictions in which GumGum operates.
• Manage outside employment counsel strategically to control cost and ensure consistency.
• Provide practical legal guidance on data privacy and protection matters, including GDPR, CCPA/CPRA, and other applicable global regulations.
• Partner with Product, Engineering, and Security teams to ensure responsible and compliant use of data and AI technologies.
• Monitor evolving regulatory developments in adtech, digital media, privacy, and AI, advising leadership on business impact.
• Coordinate Board governance activities, resolutions, and corporate records in partnership with outside counsel.
• Oversee the selection, management, and budgeting of outside counsel globally.
• Support corporate finance and strategic initiatives as needed in coordination with the CFO and external advisors.
• Manage litigation, disputes, and regulatory inquiries globally.
• Develop pragmatic strategies to mitigate exposure while protecting business relationships and reputation.
• Partner with Finance on insurance coverage and risk mitigation strategies.
• Lead and develop a small, high-performing legal team.
• Clarify role responsibilities and ensure efficient allocation of work across commercial, employment, and compliance matters.
• Foster a culture of accountability, responsiveness, and partnership with the business.

Skills You'll Bring

• Juris Doctor (JD) from an accredited law school
• Active bar membership (California or New York preferred)
• +15 years of legal experience, including significant private or in-house experience with technology, media, or adtech companies
• Strong background in commercial contracting and complex technology agreements
• Meaningful experience advising on employment law matters across multiple jurisdictions
• Experience supporting executive leadership teams
• Familiarity with data privacy, cybersecurity, and regulatory compliance in digital advertising or related sectors
• Experience managing outside counsel and legal budgets
• Prior law firm training preferred

At GumGum, competitive base pay is a part of a total rewards package which also includes benefits, an emphasis on recognition, development, and wellness. The reasonable estimated base pay range for this role is from $280,000 - $310,000 annually.  The actual amount may be higher or lower. Individual compensation will vary based on factors including, but not limited to, relevant qualifications, work location, and labor market conditions.
