Position Summary

Assured Guaranty is seeking an Analyst-level analytical/actuarial/process employee in a line of insurance business that sits at the intersection of insurance, banking and investments. The individual will be a contributor to a team responsible for performing analysis related to the Company’s loss reserves and valuations for financial guaranty and life reinsurance subsidiaries. The individual will also perform regulatory and compliance tasks for actuarial and analytical reporting requirements in the Company’s various jurisdictions. The position involves frequent opportunities to work with other company functions, such as Risk Management, Surveillance, and Accounting. This role will require the ability to effectively communicate work processes and results to internal and external stakeholders.

Job Responsibilities

• Validate, maintain and enhance Excel-based valuation models and reconciliation tools
• Become familiar with excel macros or other programs that calculate and aggregate data that makes its way into the company’s financial statements. Leverage AI to accelerate knowledge and skill acquisition
• Develop a deep understanding of the bond market, financial guaranty and credit analysis. Gain experience and form a skillset that will allow technical expertise to be applied to the company’s initiatives
• Perform management control testing to ensure accuracy and compliance with Sarbanes-Oxley requirements
• Prepare supporting material for reserves (presentations and memos) and loss experience, assist Accounting with booking and documenting reserves and valuations

Position Summary

Assured Guaranty is seeking a highly skilled and experienced corporate lawyer to join our dynamic legal team. The Counsel will be responsible for SEC filings and other public disclosures, securities laws matters, corporate governance, contract negotiation, strategic transactions, and rating agency matters. In addition, the Counsel will support aspects of the insurance regulatory function, including making filings on behalf of Assured Guaranty’s insurers.

The Counsel will work closely with the Deputy General Counsel with the objective of growing into a leading role with primary responsibility for Assured Guaranty’s public disclosures and other corporate matters.

Position Description

• Preparation of SEC filings, including proxy statements, 10-K's, 10-Qs and 8-Ks.
• Legal research and advice, including with respect to the Securities Exchange Act and insurance regulations.
• Preparation of corporate governance documentation, including board and committee minutes and materials for quarterly Board of Directors meetings of Assured Guaranty Ltd. (the public parent holding company) and its insurance subsidiaries. 
• Review and negotiation of general corporate contracts (e.g., vendor agreements and license agreements).
• Legal support of the investor relations and marketing function, including reviewing press releases and presentations.
• Legal support of the human capital management function, including updating employee benefits plans and forms of offer letters and separation agreements and reviewing privacy and other policies.
• Legal advice and assistance with strategic transactions, including mergers, acquisitions and divestitures.
• Assistance in preparation of insurance regulatory filings, including annual registration statement, enterprise risk report, corporate governance annual disclosure and other disclosures.
• Legal support of rating agency activities, including reviewing contracts and materials for periodic updates.

Candidate Background

• At least five to eight years of major law firm corporate and regulatory experience, ideally involving insurance company clients.  Additional experience in the law department of a major financial institution is a plus.
• General corporate and securities law experience and understanding of the legal parameters and practices of corporate disclosure by public companies.
• Familiar with securities laws, rules and regulations, particularly the Securities Act of 1933 and the Securities Exchange Act of 1934.
• Familiar with financial, capital and credit markets business concepts.
• Must be able to work independently, gain the trust and confidence of coworkers, including in the production, financial reporting, risk, compliance and legal functions, and understand the business and workings of a financial services company with some level of comfort with numbers.

Compensation

Annual base salary for the position is expected to be from $260,000 per year to $280,000 per year. The actual salary will depend on various factors, including but not limited to a candidate’s experience and credentials, salary expectations of applicable candidates, and other applicable market conditions. This position also provides applicable employee benefits, as well as eligibility for an annual discretionary bonus and long-term incentive awards.

Position Summary

The Structured Finance Team is responsible for the origination and credit underwriting of financial guaranty and credit insurance opportunities in a wide range of structured finance sectors including ABS, CLO, CRE, Fund Finance and other esoteric asset securitizations and financings. These transactions may contain elements of portfolio credit risk, corporate or financial institution credit risk, collateral value risk, interest rate risk or insurance-related risks.

Position Description

• Assist in the development, writing and presentation of underwriting recommendations

• Work with rating agencies as part of shadow rating process

Candidate Background

• 3 - 6 years’ experience, depending on qualifications
• Undergraduate degree from a top-tier university, preferably with a focus on finance, accounting, or other quantitative discipline
• General financial knowledge of fixed income capital markets (knowledge of structured finance useful but not required)

The attorney will be primarily responsible for providing transactional legal support to Assured Guaranty’s U.S. Public Finance business. Additionally, the attorney will be responsible for general legal support for Assured Guaranty, as directed by the Deputy General Counsel, Public Finance and/or the General Counsel.

• Draft and review a wide variety of documents related to public finance transactions.
• Negotiate transactions with internal and external clients and other parties.
• Provide legal counsel and advice to underwriting and credit teams.
• Manage legal aspects across the entire lifecycle of transactions from development of preliminary bids to closing.
• Assist with post-closing matters related to the insured portfolio including review, negotiation and documentation of consents and waivers.

Candidate Background & Qualifications

• 4 - 6 years of relevant major law experience in public finance transactions.
• J.D. degree from an accredited U.S. law school.
• Admitted to and a member in good standing of the New York Bar or a member in good standing in a jurisdiction with reciprocity with New York and able to waive into the New York Bar.
• Ability to work a hybrid schedule with required in-office days in New York City as required by Assured Guaranty from time to time.
• Extensive technical legal knowledge in the public finance sector and in-depth industry knowledge, including familiarity with the major players in the industry and an understanding of terminology and resources.
• Exposure to complex transactions including, without limitation, health care, private higher education, housing and non-profit corporation financings is a plus.
