Assured Guaranty is seeking a highly skilled and experienced corporate lawyer to join our dynamic legal team. The Counsel will be responsible for SEC filings and other public disclosures, securities laws matters, corporate governance, contract negotiation, strategic transactions, and rating agency matters. In addition, the Counsel will support aspects of the insurance regulatory function, including making filings on behalf of Assured Guaranty’s insurers.
The Counsel will work closely with the Deputy General Counsel with the objective of growing into a leading role with primary responsibility for Assured Guaranty’s public disclosures and other corporate matters.
Position Description
Preparation of SEC filings, including proxy statements, 10-K's, 10-Qs and 8-Ks.
Legal research and advice, including with respect to the Securities Exchange Act and insurance regulations.
Preparation of corporate governance documentation, including board and committee minutes and materials for quarterly Board of Directors meetings of Assured Guaranty Ltd. (the public parent holding company) and its insurance subsidiaries.
Review and negotiation of general corporate contracts (e.g., vendor agreements and license agreements).
Legal support of the investor relations and marketing function, including reviewing press releases and presentations.
Legal support of the human capital management function, including updating employee benefits plans and forms of offer letters and separation agreements and reviewing privacy and other policies.
Legal advice and assistance with strategic transactions, including mergers, acquisitions and divestitures.
Assistance in preparation of insurance regulatory filings, including annual registration statement, enterprise risk report, corporate governance annual disclosure and other disclosures.
Legal support of rating agency activities, including reviewing contracts and materials for periodic updates.
Candidate Background
At least five to eight years of major law firm corporate and regulatory experience, ideally involving insurance company clients. Additional experience in the law department of a major financial institution is a plus.
General corporate and securities law experience and understanding of the legal parameters and practices of corporate disclosure by public companies.
Familiar with securities laws, rules and regulations, particularly the Securities Act of 1933 and the Securities Exchange Act of 1934.
Familiar with financial, capital and credit markets business concepts.
Must be able to work independently, gain the trust and confidence of coworkers, including in the production, financial reporting, risk, compliance and legal functions, and understand the business and workings of a financial services company with some level of comfort with numbers.

Compensation
Annual base salary for the position is expected to be from $260,000 per year to $280,000 per year. The actual salary will depend on various factors, including but not limited to a candidate’s experience and credentials, salary expectations of applicable candidates, and other applicable market conditions. Leading financial guarantee insurance company is seeking a seasoned transactional lawyer to join a small team of experienced transactional lawyers in London and be responsible for providing legal advice and assistance on U.K. and international structured finance and infrastructure finance transactions.
Position Description
Support the deal origination teams responsible for U.K. and international structured finance and infrastructure transactions in the structuring, negotiation and documentation of such transactions
Work closely with the credit teams in London and New York responsible for vetting the transactions in identifying and potentially structuring around credit-related and other issues
Assist the surveillance teams in London and New York with the ongoing monitoring of closed transactions (including assisting with transaction amendments, waivers and consents)
Manage and ensure the effectiveness of external legal support where appropriate
Candidate Background
Qualified lawyer in England and Wales with at least 8 years of experience in a leading financial services law firm
Strong experience with complex transactions, with a focus on infrastructure or structured finance
Sensitive to legal and commercial risks, including bankruptcy issues
Excellent academic qualifications
