Position Summary

Focus is seeking a well-rounded corporate attorney to join our in-house Legal team as Assistant Vice President, Senior Associate Counsel – Corporate. Reporting to Focus’ Deputy General Counsel/Head of Legal – Corporate, this role will help drive execution and deliver polished work product across the corporate legal function, including corporate governance and board processes, equity matters, corporate treasury/financing and securities-related work, and other corporate initiatives as needed. The work is high-impact and requires strong judgment, responsiveness, and precision. The ideal candidate combines strong drafting and organizational skills with proactive issue-spotting, attention to detail, and the ability to manage shifting priorities without sacrificing quality.

This role can be located in New York, NY; St. Louis, MO; Boston, MA.

Primary Responsibilities

Corporate Governance & Board / Committee Support

• Draft and maintain corporate governance records (e.g., consents, minutes, resolutions) and related corporate books/files.
• Prepare and quality-check Board and Committee materials, including PowerPoint presentations and supporting documentation.
• Maintain and update key organizational and governance documents, including amendments to organizational documents, director and officer appointments and related approvals.
• Coordinate governance cadence and logistics, including tracking when approvals are needed, managing timelines and action items, and administering the board portal (experience with Boardvantage a plus).

Equity Plan Administration & Equity Documentation

• Manage equity matters, including equity transfers, co-investment agreements and coordinate preparation of related approvals.
• Partner with Human Resources and Finance teams to execute and administer equity-related actions accurately and timely, including through applicable equity administration platforms.
• Maintain and update equity plan documentation, templates, and supporting materials; assist with periodic updates and communications.

Financing & Securities Matters

• Coordinate financing and securities-related matters and transactions, including internal coordination and preparation of approvals and deliverables.
• Manage the legal workstream for financing and securities-related matters by coordinating internal inputs, tracking deliverables, and reviewing drafts prepared by outside counsel (including synthesizing comments and coordinating responses).
• Maintain recurring monthly charts/trackers and other supporting materials required under debt documents, and help coordinate ongoing compliance and reporting deliverables.

Intellectual Property Portfolio & Communications Support

• Help manage Focus’ overall intellectual property and brand portfolio, including maintaining records and supporting related processes.
• Review select corporate communications and brand-related materials in partnership with internal stakeholders, as needed.

Qualifications

• J.D. from an accredited law school.
• Admitted and in good standing in all jurisdictions of admission.
• 3+ years of relevant experience at a major law firm (corporate/M&A, finance, or similar) and/or in-house supporting corporate legal matters.
• Demonstrated strength in corporate drafting and issue-spotting, with the ability to translate complex concepts into clear, practical written work product.
• Experience supporting corporate governance, including drafting/reviewing minutes, consents, and resolutions and preparing board/committee materials, strongly preferred.
• High proficiency in PowerPoint and strong writing skills, including the ability to produce polished, board-audience materials.
• Comfort using Boardvantage (or similar board portal software) and Carta (or similar equity administration platforms) is a plus.
• Experience with financing and/or securities matters is a plus.
• Familiarity with intellectual property/brand portfolio support and/or review of corporate communications is a plus.
• Proactive, hard-working, and able to manage competing priorities, take ownership of matters (with appropriate supervision), and drive action items to completion in a fast-paced environment.
• Highly organized with exceptional attention to detail and sound judgment, including the ability to maintain confidentiality and collaborate effectively with stakeholders across the business.

This position is an exempt position. The annualized base pay range for this role is expected to be between $150,000–$185,000 base salary compensation range. Actual base pay may vary based on factors including, but not limited to, experience, subject matter expertise, geographic location where work will be performed, and the applicant’s skill set. Position Summary

Focus is seeking a litigation attorney to join our in-house Legal team as Assistant Vice President, Senior Associate Counsel – Litigation. Under the direction of senior members of the Focus Legal team, in this newly-created role, you will support a rapidly growing organization by helping to manage a range of commercial, business and employment-related claims and disputes, including mediations, arbitrations, administrative claims and litigation. You will work closely with internal stakeholders and outside counsel, with a particular focus on responding to subpoena and third-party record requests, assisting in the assessment, defense and resolution of disputes, and supporting insurance carrier claims and correspondence. This role is ideal for a detail-oriented, business-minded litigation attorney who thrives in a fast-paced environment and is eager to build and grow an in-house litigation practice.

This role can be based in St. Louis, MO (preferred); New York, NY; Boston, MA.

Primary Responsibilities

Litigation & Dispute Support

• Support management and resolution of claims and disputes, including drafting and reviewing claims, pleadings, motions, correspondence and internal matter summaries.
• Coordinate with Focus Legal and business teams, and outside counsel, on assessment, defense and resolution strategy in the context of demands, mediations, arbitrations, administrative claims and litigation.
• Lead administration of dispute-related processes, including insurance notices and claims management, document production, litigation holds, internal status reporting and budgeting.
• Assist with internal fact-gathering and review of case-related materials.

Insurance Coverage & Carrier Updates

• Assist with insurance claim notifications and maintenance of carrier contact information and correspondence files.
• Prepare and deliver periodic updates to insurance carriers on case status, key developments, budgets and upcoming milestones, working with supervising attorneys and outside counsel.
• Coordinate collection and sharing of pleadings, discovery, invoices and other supporting materials requested by carriers, consistent with confidentiality and privilege requirements.
• Help track defense costs and other coverage-related information needed for reporting and internal review.

Subpoenas & Third-Party Records Requests

• Support intake and tracking for subpoenas and third-party discovery/records requests.
• Review and help draft responses, ensuring alignment with legal requirements, internal policies and privacy obligations.
• Coordinate document collection and production with internal partners (e.g., IT, Human Resources, Compliance, etc.).
• Communicate with issuing counsel and agencies on scope and timing under guidance from supervising attorneys.
• Maintain accurate logs and reporting for subpoenas, records requests and related productions.

Discovery, Document Management & Legal Holds

• Assist with document review, including identifying responsiveness, confidentiality and privilege issues.
• Help evaluate and flag confidentiality and privilege risks, and support privilege log preparation as needed.
• Support implementation and administration of legal holds, including tracking acknowledgements and coordinating with custodians.

Matter Management & Process

• Track deadlines, filings, and matter calendars, and escalate issues promptly as needed.
• Help maintain and improve processes, templates, and matter-management tools.

Cross-Functional Partnership & Communications

• Partner with Focus’ compliance, operations, human resources and business teams to gather information, coordinate responses, and provide practical legal support.
• Assist in preparing periodic updates on litigation trends, risks, and outcomes for internal stakeholders.

Qualifications

• Juris Doctor (J.D.) from an accredited law school.
• Active attorney’s license in good standing in relevant jurisdiction(s).
• 2–5+ years of legal experience with a strong foundation in litigation (law firm, government, or in-house). Experience in the registered investment adviser / financial services space is a plus.
• Strong legal writing and analytical skills.
• Familiarity with civil procedure, discovery rules, and privilege concepts.
• Comfort with eDiscovery workflows and common matter-management or document-review tools (experience with specific platforms is helpful but not required).
• Experience supporting subpoena responses and third-party records requests.
• Demonstrated ability to manage insurance carrier reporting and coverage-related communications in connection with litigation is a plus.
• Ability to exercise sound judgment and maintain confidentiality of highly sensitive matters.
• Comfortable in a fast-paced environment and able to adapt to changing priorities.

Position Summary 

We are looking for a Junior Attorney with approximately 2 years of post-bar admission experience in financial services, with a focus on private funds, to join our Legal Team. This role will provide legal support across SCS’s private funds business including regulatory compliance, investment opportunities, operations, and transactional documentation. You will work closely with business partners (advisors, investments, operations, compliance, and risk) and outside and corporate counsel to help drive business initiatives, manage risk, and ensure compliance with applicable laws and regulations.

Focus provides team members the flexibility to work a hybrid schedule. Our hybrid model is defined as 3 days in office work required per week, while giving team members the option to work remotely 2 days per week, or as assigned by their team leader. 

Primary Responsibilities 

• Serve as the lead legal representative in supporting SCS’ private funds business, which includes, but is not limited to, reviewing a variety of fund documents, non-disclosure agreements, and investment agreements relating to external investment managers.
  
• Participate in special projects, such as launching new private funds, secondary sale transactions, or other business initiatives.
  
• Coordinate and manage outside counsel on discrete matters or projects.
  
• Support the development and implementation of compliance programs and internal policies, working cross-functionally with Compliance, Risk, Investment and Operations teams.

Qualifications

• Proven ability to review legal agreements and provide practical, business-oriented legal guidance.
  
• Excellent research, writing, and analytical skills with strong attention to detail.
  
• Ability to manage multiple projects, prioritize effectively, and operate in a fast-paced, highly regulated environment.
  
• Strong interpersonal and communication skills with the ability to partner across legal, compliance, operations, and business teams.
